John McKenna

John McKenna is capital markets partner in Cooley LLP's Palo Alto, California office.  John has been with Cooley nearly 25 years, and  practices corporate and securities law, with an emphasis on the representation of publicly traded companies, the formation, financing and general representation of emerging growth companies, and the representation of investors and investment banks involved with such companies.  John counsels public and private company clients in the full range of corporate and securities matters, including public and private offerings of equity and debt, employee incentive programs, mergers and acquisitions, strategic corporate relationships, SEC reporting and compliance, Sarbanes-Oxley compliance and corporate governance. John is also a market leader in SPAC M&A transactions, counseling target companies, sponsors and investors in the de-SPAC process in transactions ranging in value up to $5 billion.  Prior to attending law school, John was with Ernst & Young LLP as a practicing CPA.  John holds a B.S. in Business Administration from Cal Poly San Luis Obispo and a J.D. from Boston University.
